Terms of Service

These Terms of Service (“Terms”) govern access to and use of SHUBHRA IRP and this website, provided by Instruct, a sole proprietorship of Tamanna Verma (“Instruct”, “SHUBHRA”, “we”, “us”), based in Ambala, Haryana. By requesting a demo, signing an order or agreement with us, or using SHUBHRA IRP, you agree to these Terms.

The service

SHUBHRA IRP is subscription software (SaaS) for jewellery businesses, covering billing, inventory, custom orders, gold loans, savings schemes, staff, accounting and a storefront website, among other modules. Features available to you depend on the plan you choose.

Plans, pricing and orders

Plans and pricing are those agreed at the time of your order, as set out in your order or agreement. We may introduce new plans or change pricing for new orders at any time; changes do not apply retroactively to an active subscription unless you agree to them.

Payment

Payment is collected through Razorpay or another payment route we make available, including in some cases EMI (instalments), which may carry a convenience fee disclosed to you before you pay. Where an agreement requires your signature, your subscription begins once payment (or the first instalment, for EMI) is received and the agreement is signed.

Invoicing

We issue a GST invoice or receipt for every payment we receive, prepared using the GSTIN, billing name and address you give us. Please keep these accurate — we cannot amend an issued invoice for a data error you provided.

Acceptable use

You agree to use SHUBHRA IRP only for lawful business purposes, to keep your login credentials confidential, and not to attempt to disrupt, reverse-engineer or gain unauthorised access to the service or another shop’s data. Each SHUBHRA IRP account is scoped to one business; do not use your account to access or attempt to access another shop’s data.

Your data

You own the business data you put into SHUBHRA IRP — inventory, sales, customers and the rest. We process it to provide the service to you, as described in our Privacy Policy. You are responsible for the accuracy of the data you enter and for complying with laws that apply to your own business, such as GST and consumer protection law.

Intellectual property

SHUBHRA, SHUBHRA IRP, our logos, and the software, design and content of this website and product belong to Instruct. Nothing in these Terms transfers ownership of that intellectual property to you; you receive only the right to use the service as intended, for the term of your subscription.

Suspension and termination

We may suspend or terminate access for non-payment, misuse, or breach of these Terms, after reasonable notice where practical. You may stop using the service at any time; amounts already paid are governed by the refund terms in your order or agreement, where applicable.

Limitation of liability

SHUBHRA IRP is provided on an “as is” basis. To the fullest extent permitted by law, Instruct is not liable for indirect, incidental or consequential loss — such as lost profits or lost data — arising from use of the service. Our total liability for any claim relating to the service is limited to the fees you paid us in the twelve months before the claim arose.

Changes to these Terms

We may update these Terms from time to time; the date at the top shows the latest revision. Continued use of the service after an update means you accept the revised Terms.

Governing law and jurisdiction

These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms or the service is subject to the exclusive jurisdiction of the courts at Ambala, Haryana.
